Case Assistant (Public Finance)
The candidate will report to the Firm wide Paralegal Manager. Will work with attorneys and paralegals on the Public Finance team and in the Corporate Department. Review and proofing of all legal documents, contracts and agreements marked up by attorneys to ensure consistency and defined terms are used properly. Assist with closings of public finance transactions and preparation of closing binders. Assist with distributions of bond validation/legal pleading documents, including petition and complaints, answers, and order and final judgments. Prepare drafts of initial forms UCC financing statements, and related closing certificates. File UCC financing statements and records real estate and other documents with Courts or other governmental entities or organizations. Prepare execution copies of documents for clients and coordinate obtaining signatures from clients. Occasionally attend client meetings away from the office to assist with execution of documents. Research local legislation updates for local governmental entities. Research economic and demographic information for incorporation in official statements. Review officer?s certificates, resolutions, organizational documents, and other due diligence materials. Handle matters relevant to clients, relating to corporate formation (for profit, non-profit, limited liability), non-profit solicitations and fund-raising and political activities. Obtain certified copies of corporate documents, including certified articles of incorporation and good standing certificates. Maintain public finance department files relating to 8038 filings, activating resolutions, and demographic research. Assist public finance paralegals. Work primarily with attorneys in the Corporate Department as well as with secretarial members of the team to which they are assigned. Communication with other firm personnel and people outside of the firm will be required to accomplish the duties of the position.Estimated Salary: $20 to $28 per hour based on qualifications.
